Business Terms

These Business Terms apply to any business that lists, sells or takes payments on SplitClub: venues, clubs, restaurants, hotels, day-pass and spa operators, studios and gyms, golf courses, charter, boat and car operators, hosts of stays and experiences, and anyone using the operator console, a venue login, Pay with SplitClub, payment links or the Partner API (“you”, the “Business”). They are an agreement between you and S7 Managed Reserves Fund, doing business as SplitClub.

Our Terms of Service also apply to you as a user of SplitClub, and our Privacy Policy explains how we handle personal data. If these Business Terms and the Terms of Service conflict on a business matter, these Business Terms win. A separate signed agreement with SplitClub wins over both.

The person accepting these terms confirms they are authorized to bind the Business.

SplitClub charges the Business 2% of each booking paid through SplitClub. There are no monthly fees, no software fees and no sign-up fees. The fee is deducted from your payout (or, for a payment link or membership, taken as an application fee on the payment), and each payout or statement shows it.

• Guests pay the price you list. SplitClub may add its own guest service fee on top, shown to the guest; it isn't taken from you.
• On a refund, the 2% fee is refunded in proportion to the amount refunded.
• We'll give at least 30 days' notice by email before changing the fee. A change never applies to bookings already made.

SplitClub is the merchant of record for bookings guests pay for on SplitClub: guests pay us, and we pay you your share. For your own payment links and memberships, you are the seller and the payment is made to your Stripe account through SplitClub.

Payouts are made through Stripe Connect to the Stripe account you connect. You agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, and to give Stripe and us accurate business, tax and bank information. We may share information about you and your transactions with Stripe.

• Payouts for a booking are released after it takes place, after a holding period (currently up to 7 days) that covers check-in, refunds and disputes.
• We may hold or delay a payout while we investigate suspected fraud, a dispute or a breach of these terms.
• We may deduct from future payouts, or reverse a transfer for, amounts you owe: refunds, chargebacks you are responsible for (section 6) and amounts paid in error.
• Where the law requires, we'll issue tax forms (for example a Form 1099) for amounts we pay you. You are responsible for your own taxes, including sales, hotel and amusement taxes that apply to what you sell, unless we agree in writing to collect them.

You are responsible for your listings. You agree that:

• what you list is accurate and complete: what is included, price, capacity, times, location, age limits, dress code, deposits and your cancellation terms;
• you keep availability up to date and honor every booking SplitClub confirms at the price and terms shown;
• prices shown on SplitClub are the full price for what is included, apart from taxes or charges disclosed on the listing;
• you hold every licence, permit, certificate and insurance your activity needs (for example liquor licences, vessel documentation and captain's licences, and liability insurance), and keep them current;
• you comply with the law, including age checks for alcohol and 21+ events, accessibility, safety and anti-discrimination law.

SplitClub may review, edit for format, decline or remove listings, and may set how listings are displayed and ranked. Listings imported for you (for example by our AI import tools or from your existing website) are drafts until you check them, and you are responsible for them once published.

Guests often book as a group through a split, which is confirmed only when every seat is paid by its deadline. A booking is yours to serve once SplitClub confirms it. If a split doesn't fill, it is not confirmed, and you have no obligation and receive no payment for it.

• If you cancel a confirmed booking, or can't provide it, guests get back everything they paid, and we may recover the amount from you, including your share already paid out. Tell us and the guests as early as you can.
• If a guest cancels, the cancellation terms on your listing apply.
• Weather and safety. If you cancel for safety reasons (for example weather on the water), the guests are refunded or rebooked as your listing says.
• Refusing entry. You may refuse entry for lawful reasons (no valid ID, under age, intoxication, dress code or safety), applied consistently. You may not refuse a guest because they booked through SplitClub.

SplitClub handles payment disputes and chargebacks on bookings paid through SplitClub and responds with the evidence we have, including check-in scans at your door. Please scan passes and record check-ins in SplitClub: it is the best evidence that a guest received what they paid for.

You are responsible for, and we may recover from you, a chargeback or refund that results from your not providing the booking, providing something materially different from the listing, or your breach of these terms, together with the dispute fee. SplitClub bears chargebacks for bookings you delivered as listed and that were checked in through SplitClub.

We share with you the guest information needed to serve a booking (for example names, party size and check-in status). Use it only to provide the booking, keep it secure, and don't use it for unrelated marketing unless the guest separately agrees. Don't contact guests to move a SplitClub booking off SplitClub to avoid the fee.

Your staff accounts and venue logins are yours to control. Keep their passwords private and remove access when someone leaves. You are responsible for what is done with them.

You keep ownership of the photos, videos, logos, menus and descriptions you upload or give us. You grant SplitClub a worldwide, non-exclusive, royalty-free licence to use, host, reproduce, adapt (for example crop, resize, translate, or remove location data), display and distribute that content on SplitClub and in marketing for SplitClub and your listings, including on social media, ads, our website and through partners and AI assistants that show SplitClub listings. The licence lasts while your listing is on SplitClub and for a reasonable time after it is removed for materials already published.

You confirm you own the content or have permission to grant this licence, and that it doesn't infringe anyone's rights, including the privacy rights of people shown in it.

If you use the Partner API, MCP server, Pay with SplitClub or a connected integration, you must follow the documentation at splitclubapp.com/developers, keep secret keys on your server, respect rate limits, and use the access only for your own business. Webhooks and checkouts must be confirmed on your server, not trusted from the browser. We may change, limit or revoke API access, with notice where practical.

You are responsible for the experiences you provide and for your premises, vessels, vehicles, staff and contractors. You agree to indemnify SplitClub against claims, losses and costs (including reasonable legal fees) arising from what you provide, your listings and content, your breach of these terms, or your violation of law.

TO THE FULLEST EXTENT THE LAW ALLOWS, SPLITCLUB IS NOT LIABLE TO YOU FOR INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS, AND OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID SPLITCLUB IN THE 12 MONTHS BEFORE THE CLAIM AROSE. This doesn't limit our obligation to pay you amounts owed for bookings you delivered.

You can stop using SplitClub and remove your listings at any time, but you must honor bookings already confirmed. We may suspend or remove a Business for breach of these terms, fraud, repeated cancellations or complaints, risk to guests, or if the law requires. Amounts owed either way, the content licence for materials already published, indemnity and liability terms survive.

These Business Terms are governed by the laws of the State of Florida. Disputes between a Business and SplitClub are resolved in the state or federal courts located in Miami-Dade County, Florida, and both parties consent to their jurisdiction. Before going to court, write to us at business@splitclubapp.com and give us 30 days to resolve it.

We may update these terms with at least 30 days' notice by email for material changes. You and SplitClub are independent contractors; nothing here creates a partnership, employment or agency. You may not assign these terms without our consent.
